1 Acceptance of Terms

By accessing or using the FabriTech Nexus website ("Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Cookie Policy. These documents collectively constitute the entire agreement governing your use of the Site.

Editorial Independence

Service Limitations

FabriTech Nexus is not a retailer. We do not sell equipment, process payments, fulfill orders, or provide warranties. All purchases occur on third-party websites governed by their respective terms and conditions. We are not a party to any transaction between you and third-party sellers.

4 User Conduct

Permitted Uses

You may access and use the Site for lawful purposes, including: personal research and education, equipment evaluation and comparison, non-commercial reference, and sharing links to our content with proper attribution.

Prohibited Conduct

The following activities are expressly prohibited and may result in immediate termination of access, legal action, or both:

Automated Data Extraction

Using bots, crawlers, scrapers, or automated tools to extract Content, specifications, or structured data without prior written authorization.

Unauthorized Reproduction

Copying, republishing, syndicating, or distributing Content beyond fair use provisions without explicit written permission from FabriTech Nexus.

AI/ML Training Use

5 Intellectual Property

Ownership

All Content on the Site—including reviews, analysis, Fabrication Intelligence articles, specifications databases, comparison algorithms, visual design, graphics, logos, and underlying software—is owned by FabriTech Nexus or its licensors and protected by copyright, trademark, trade secret, and other intellectual property laws.

Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. This license does not include rights to:

DMCA Procedure

If you believe your copyrighted work has been infringed, submit a DMCA notice to legal@fabritechnexus.com containing:

  2. Identification and location of the allegedly infringing material on our Site

8 Limitation of Liability

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SITE EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100.00); OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO FABRITECH NEXUS, IF ANY, DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL, CONSEQUENTIAL, OR CERTAIN OTHER DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS UNDER APPLICABLE LAW.

Essential Basis

You acknowledge that FabriTech Nexus has offered the Site and entered into these Terms in reliance upon the disclaimers and limitations of liability set forth herein. These provisions reflect a reasonable and fair allocation of risk and form an essential basis of the bargain between you and FabriTech Nexus.

9 Indemnification

You agree to defend, indemnify, and hold harmless FabriTech Nexus and its owners, officers, employees, contractors, agents, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights

  • Your negligent or wrongful conduct

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with our defense of such claims and not to settle any matter without our prior written consent.

10 Termination

Termination by FabriTech Nexus

We reserve the right, in our sole discretion, to terminate or suspend your access to all or any part of the Site at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, but are not limited to:

  • Violation of these Terms or any applicable law
  • Conduct harmful to other users, third parties, or our business interests
  • Request by law enforcement or government agency
  • Discontinuation or material modification of the Site
  • Unexpected technical or security issues

Termination by User

You may discontinue use of the Site at any time by simply ceasing to access it. If you have created an account, you may request account deletion by contacting privacy@fabritechnexus.com. We will process deletion requests in accordance with our Privacy Policy and applicable data protection laws.

Effect of Termination

Upon termination, your right to use the Site immediately ceases. The following provisions shall survive termination: Definitions, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

FabriTech Nexus reserves the right to modify these Terms at any time. When we make changes:

  • We will update the "Version" number and "Effective" date at the top of this page
  • Material changes will be documented in the Version History section
  • For significant changes affecting your rights, we may provide additional notice via email (if you've provided one) or prominent Site notification

Your continued use of the Site after any modifications constitutes acceptance of the revised Terms. If you do not agree to modified Terms, you must discontinue use of the Site before they become effective.

12 Dispute Resolution

Governing Law

These Terms and any disputes arising from or relating to these Terms, the Site, or your use thereof shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@fabritechnexus.com and attempt to resolve the dispute informally. We will endeavor to resolve disputes through good faith negotiation within sixty (60) days of receiving your written notice describing the dispute.

Binding Arbitration

If we cannot resolve a dispute informally, you and FabriTech Nexus agree to resolve any remaining claims through final and binding arbitration, except as set forth below. Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and conducted in Wilmington, Delaware (or another mutually agreed location).

The arbitrator shall have exclusive authority to resolve all disputes arising out of or relating to these Terms, including their formation, validity, enforceability, and scope. The arbitrator's award shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Class Action Waiver

Class Action Waiver

YOU AND FABRITECH NEXUS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions to Arbitration

Notwithstanding the foregoing, either party may: (a) seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights; (b) bring claims in small claims court if eligible; (c) pursue enforcement of arbitration awards in any court of competent jurisdiction.

13 International Users & Privacy Rights

FabriTech Nexus is operated from the United States. If you access the Site from outside the United States, you do so at your own initiative and are responsible for compliance with local laws.

15 General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and FabriTech Nexus regarding your use of the Site, superseding any prior agreements, communications, or understandings.

Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to render it valid and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of FabriTech Nexus to be effective.

Assignment

You may not assign, transfer, or sublicense these Terms or any rights or obligations hereunder without our prior written consent. FabriTech Nexus may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties' successors and permitted assigns.

Force Majeure

FabriTech Nexus shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, strikes, or failures of third-party services.

Headings

Section headings and numbers are for convenience only and shall not affect the interpretation or construction of these Terms.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any person or entity not a party to these Terms.
